Dear Brothers,

I am so green in using cocos2d and i-phone development...

I have a basic question that how can I upgrade the existing project to using latest release of cocos2d ? ( just replace the previous version of libraries files to new one? )

Yes, replace them. You might have some build errors due to deprecations or extra files but you can figure them out fairly easily.
